Special Members’ Meeting

Dear SaskOrganics Members,

The board of SaskOrganics is calling a special members’ meeting to be held online on Wednesday, November 13, 2024 from 7:00pm-8:00pm CST.

As per our bylaws:

5.2. Special Meeting of the Corporation
5.2.1. Calling of Special Meeting
A Special Meeting may be called at any time:
5.2.1.1. By a resolution of the Board of Directors to that effect;
5.2.1.2. On the written request of at least one-third (1/3) of the elected Directors. The request must state the reason for the Special Meeting and the motion(s) intended to be submitted at this Special Meeting.

Purpose of the Meeting
To consider changes to the SaskOrganics bylaws as  proposed in the document circulated to the membership – accessed below in this e-mail.

The significant changes relate to our director election process and the date of our fiscal year end.

Explanation re: Change in Electoral Process for Board DirectorsThe SaskOrganics Board believes that it is time to update our Board election processes.  It is noted that many organizations including development commissions are electing their directors in advance of their Annual meetings and that such voting can now be done online to engage more members.  To that end, the SaskOrganics Board is recommending that membership move to change the election process as described in the proposed revised bylaws with an amendment that lays out defined timelines for receipt of nominations, potential candidates withdrawals, and the election.

Explanation re: Fiscal Year

It has always been difficult to ensure that we can have our financial records properly reviewed between the 31 December end-of-fiscal-year and the Annual Meeting which takes place in March – less than three months.  Moving the end of the fiscal year forward to October 31 would result in a less rushed process to ensure everything is place for financial reporting at the Annual Meeting.
